Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of the Cassandra web application available at https://cassandra.legache.com and any related features, content, and services we make available through it (collectively, the “Service”).

Cassandra is operated by Legache, a division of Waypoint, Inc. (“Legache”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

Communications

We may send you service-related emails and messages about your account, security, billing, legal notices, product changes, and support matters.

If you opt in to marketing or promotional emails, you may opt out at any time by using the unsubscribe link in those messages or by contacting us at contact@legache.com.

You may still receive transactional or administrative communications that are necessary to operate the Service or comply with legal obligations.

Purchases

If you purchase a paid plan or paid feature through the Service, you may be asked to provide current, complete, and authorized billing and payment information.

You represent and warrant that you are authorized to use the payment method you provide and that all purchase information you submit is accurate.

We may use third-party payment processors to facilitate billing and payment processing. Your use of those processors may also be subject to their separate terms and privacy policies.

We reserve the right to refuse, suspend, or cancel an order or transaction if pricing, availability, fraud prevention, misuse, or legal compliance concerns require us to do so.

Subscriptions

Some parts of the Service are billed on a recurring subscription basis. Billing cycles may be monthly or annual, depending on the plan you select.

Unless otherwise stated at the time of purchase, subscriptions renew automatically at the end of each billing cycle until canceled.

You may manage or cancel renewal through the account or billing features made available in the Service, or by contacting us at contact@legache.com.

Cancellation will apply prospectively, and you will retain access through the end of the then-current paid period unless otherwise stated.

Free Trial

We may offer trial, pilot, or demo access to certain paid features at our discretion.

Eligibility, duration, feature access, and any conversion or expiration terms for a free trial will be described in the applicable offer, account flow, or pricing materials.

To the extent permitted by law, we may modify, limit, or discontinue a free trial or demo offer at any time.

Fee Changes

We may change fees for paid plans or features from time to time.

Any fee change will apply prospectively. Where required, we will provide reasonable advance notice before updated fees take effect.

Your continued use of a paid subscription after updated fees take effect constitutes acceptance of the updated pricing.

Refunds

Except as required by applicable law or expressly stated at the time of purchase, fees paid for the Service are non-refundable.

Content

The Service may allow you to upload, paste, store, transmit, share, or otherwise submit documents, prompts, text, data, images, configurations, messages, and other materials (“Content”). You are responsible for your Content and for ensuring that your use of the Service in connection with that Content is lawful and authorized.

You retain ownership of your Content. However, you grant Legache a non-exclusive, worldwide, limited license to host, store, reproduce, process, transmit, display, and otherwise use your Content as necessary to operate, secure, maintain, support, and provide the Service and any sharing features you choose to use.

If you share content, constellations, or other materials with other users or third parties through the Service, you authorize us to make that Content available as directed by your sharing settings or actions.

You represent and warrant that you own or control the necessary rights in your Content and that your Content and use of the Service will not violate any law, contract, confidentiality duty, intellectual property right, privacy right, or other right of any person or entity.

We may remove or restrict Content, or suspend related access, if we reasonably believe the Content or its use violates these Terms, applicable law, or the rights or safety of others.

AI-Assisted Features

The Service may use automated systems, including large language models and other machine learning tools, to analyze Content and generate summaries, labels, answers, suggestions, or other outputs.

AI-generated or automated outputs may be incomplete, inaccurate, outdated, biased, or otherwise unsuitable for your use case. You are responsible for reviewing and validating outputs before relying on them.

The Service is not a substitute for professional judgment and does not provide legal, medical, financial, compliance, or other professional advice.

By using AI-assisted features, you instruct us and our service providers to process the Content and prompts you submit as needed to provide those features, consistent with these Terms and our Privacy Policy.

Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable law, regulation, court order, or third-party right.

• To exploit, harm, or attempt to exploit or harm minors.

• To transmit spam, unsolicited promotional materials, or other unauthorized solicitations.

• To upload, submit, or share Content that you do not have the right to use or disclose.

• To engage in fraudulent, deceptive, harmful, threatening, abusive, or defamatory activity.

• To use the Service or its outputs as the sole basis for decisions that require licensed professional review, emergency response, or other high-risk human oversight.

Additionally, you agree not to:

• Interfere with or disrupt the Service or the networks, systems, or servers connected to the Service.

• Use any robot, scraper, spider, or other automated means to access or monitor the Service for unauthorized purposes.

• Attempt to gain unauthorized access to any account, system, or data.

• Introduce malware, malicious code, or other harmful material.

• Reverse engineer, probe, or test the vulnerability of the Service except as expressly permitted by law.

• Use the Service in a way that could disable, overburden, damage, or impair the Service or other users' access to it.

Analytics

We may use third-party service providers to measure, monitor, and improve the performance and usage of the Service.

We use Google Analytics to help us understand website traffic and product usage patterns. Information collected by Google Analytics is subject to Google's terms and privacy practices.

Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us promptly if you become aware of any unauthorized access to or use of your account or any other security breach related to the Service.

Each account is intended for use by a single individual unless we expressly authorize otherwise.

You may not impersonate another person or entity, use a username that infringes another party's rights, or use a username that is offensive, vulgar, or obscene.

We may refuse service, suspend or terminate accounts, or remove access to features in our reasonable discretion, including where necessary to protect the Service, users, or our legal rights.

Data Encryption and Storage

We use commercially reasonable administrative, technical, and organizational safeguards designed to protect the Service and information processed through it. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

You are responsible for choosing what Content you upload or submit to the Service, maintaining appropriate backups of your Content, and using appropriate access controls for your account and shared materials.

We may store and process Content and related usage data as reasonably necessary to provide, secure, maintain, and support the Service, consistent with our Privacy Policy and applicable law.

Intellectual Property

The Service and its original content, features, functionality, design elements, and software, excluding Content you provide, are and will remain the exclusive property of Legache, a division of Waypoint, Inc., and its licensors.

The Service is protected by copyright, trademark, and other applicable laws. You may not use our trademarks, branding, or trade dress without our prior written consent.

Error Reporting & Feedback

If you send us feedback, ideas, suggestions, enhancement requests, or other comments about the Service (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, publish, and otherwise exploit that Feedback for any lawful purpose without restriction or compensation to you.

We may use third-party tools to receive error reports, diagnostics, and operational telemetry related to the Service.

Disclaimer of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

LEGACHE, WAYPOINT, INC., AND THEIR AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE, ANY OUTPUTS, OR ANY CONTENT AVAILABLE THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, ERROR-FREE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

Nothing in these Terms limits any non-waivable consumer rights you may have under applicable law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGACHE, WAYPOINT, INC., AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IF WE ARE FOUND LIABLE FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above limitations may not apply to you.

Termination

We may suspend or terminate your account or access to the Service, in whole or in part, at any time if we reasonably believe you have violated these Terms, created risk for the Service or other users, or if suspension or termination is required by law.

Any provisions of these Terms that by their nature should survive termination will survive, including provisions concerning ownership, licenses, disclaimers, limitations of liability, dispute-related provisions, and feedback.

Changes To Service

We are not liable for any modification, suspension, or discontinuation of the Service, except as required by applicable law.

We may impose or adjust limits on certain features or restrict access to parts of the Service where reasonably necessary for security, operational, legal, or business reasons.

Amendments To Terms

We may update these Terms from time to time by posting the revised version on this page.

If a revision materially affects your rights or obligations, we will provide notice as required by law or through the Service.

By continuing to access or use the Service after updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree, you must stop using the Service.
